Terms & Conditions
General
Bache & Company Digital Business Service ("Bache Digital") allows individuals and/or entities to establish company/ companies and subscribe to business administration and support services online. A unique profile (“User Account”) will be created to record the services you have requested. All access to the Bache Digital is governed by and subject to the Terms and Conditions below (“Terms), as may be amended from time to time. If you do not accept any of these Terms, please do not use Bache Digital and exit immediately. Continue only if you accept these Terms.
These Terms may be changed from time to time without notice, and such changes will take effect immediately upon being published on Bache Digital and/or our website www.bache.com.sg. Your use of Bache Digital after such changes have been published on Bache Digital and/or our website shall constitute your agreement to be bound by the modified Terms and all of the changes. Please check the Terms whenever you access Bache Digital and/or our website.
In these Terms:
- the words "we", "our" and "us" refer to Bache & Company Private Limited;,
- "Losses" means all liabilities, losses, damages, actions, claims, demands, costs, expenses and penalties; settlement sums and sums paid in satisfaction of any court, arbitral or expert award.
Service Order
Where you place an order via Bache Digital, your order constitutes an offer to us to buy our services and are subject to acceptance by us, in our sole and absolute discretion. Each order, once accepted by us, shall immediately constitute a separate and independent binding contract (“Service Contract”) between you and us (“Parties”) and you unconditionally acknowledge and agree that these Terms shall exclusively govern our performance of services.
Status
By submitting an order, you warrant and represent to us that you:
- have read, understood and accepted these Terms;
- have the power and capacity to enter into, exercise rights, perform and comply with the obligations under these Terms;
- are not already restricted by Bache Digital or Bache & Company Private Limited from using the Services.
Payment
You hereby authorise us to make a debit on the debit or credit card you provided to us when you submit your order.
Where your order is for a subscription that is for a period, you hereby authorise us to make a debit for the subscription fee for the subscription period. Unless we are notified to the contrary in writing at least 7 working days before expiry, all subscription orders made by you for a period shall be renewed automatically on recurring expiry dates.
The services are charged in Singapore dollars. Payments are considered received only when the money have been deposited into our account as cleared funds.
You acknowledge and agree that where, for whatever reason, your payment is reversed or declined, where recurring payments are required, then this liability will be deemed a debt immediately due and payable to us. Any outstanding payments not paid shall be subject to a late payment interest of 12% per annum until full payment is received.
Refund
If we are unable to fulfil a Service Contract resulting from events, circumstances or causes beyond our and/or the Parties’ reasonable control, the Service Contract may be cancelled with notice to you before/during/after fulfilling, at our sole discretion, and you will be issued a credit note and/or refunded. If however, we are unable to fulfill a Service Contract due to a breach of your responsibilities, we will cancel the Service Contract without any refunds.
The costs and payment of applicable taxes shall be borne by you. Where we make the initial payment of such taxes, you shall pay all our invoices, where applicable, in full, free of any withholding and/or deductions for applicable taxes and bank charges.
Termination
Unless indicated otherwise on Bache Digital or through email communication, all the Service Contracts shall be extended automatically at the end of the initial term and at the end of each extended period on the same Terms or on amended Terms (as the case might apply). The Service Contracts may be terminated by either of us giving the other at least 7 working days’ written notice before the end of the initial term or at the end of any of the extended period, provided that there is no outstanding fees to be paid.
If you do not pay for your Service Contract in full and on time, or within 7 working days upon demand, we reserve the right to terminate your use of your User Account and/or suspend and/or terminate the performance of the services forthwith in whole or in part and we shall not be liable to you for any liabilities that you may suffer as a result. Where the Service Contract is terminated by us, Fees for services that have been paid for but not performed shall be refunded save as to fees which have been deemed/stated as non-refundable.
Your Responsibilities
It is your responsibility to ensure that all information you have submitted on Bache Digital is complete, accurate, true and correct.
In order support and perform the services requested by you, you shall provide us information and documents required by us promptly and if required, grant us access and/or permissions in relation to some third-party services.
You shall also notify us immediately where there are any changes to any information that you have maintained on Bache Digital.
Links to or from Bache Digital
We do not warrant and endorse, and are not responsible or liable for the content and/or third-party services offered by the other website ("Other Website") linked to or from Bache Digital.
We shall not be liable for any damage or loss of any kind caused as a result (direct or indirect) of the use of any Other Website, including but not limited to any damage or loss suffered as a result of reliance on the contents contained in and/or third-party services offered by Other Website.
We shall have the right to object to or disable any link or frame to or from Bache Digital. We shall also have the right to change the URL of our Website.
Access to Bache Digital
The accessibility and operation of Bache Digital rely on technologies outside our control.
We do not make any warranty or representation that access to Bache Digital will be uninterrupted, free from error, free from computer virus or other malicious, destructive or corrupting code or that any identified defect will be corrected. We shall not be liable for any Losses arising out of or in connection with any such interruption, error, defect or computer virus or other malicious, destructive or corrupting code, including but not limited to:
- any loss of, or any inability to retrieve, any data or information however caused as a result of any interruption, suspension or termination of service; and
- any inaccuracy in the information presented, used or transmitted through Bache Digital.
We shall be entitled to suspend, terminate or vary Bache Digital or its operating hours at any time without prior notice at our sole and absolute discretion without giving any reason and without prejudice to our rights against you (including all rights of action for any antecedent breach of these Terms by you).
Relying on Information
We do not guarantee the accuracy, correctness, adequacy, fullness, reliability, timeliness, non-infringement, title, merchantability, fitness for any particular purpose of any statement, opinion, representation or other information on Bache Digital. Any information provided by Bache Digital does not constitute professional or legal advice. Before relying on Bache Digital, you should do your own checks or obtain professional advice to your particular circumstances.
Relying on Information
Where appropriate, we use available technology to protect the security of communications made electronically. However, we shall not be responsible or liable for the security, authenticity, integrity or confidentiality of any transactions and other communications made electronically through Bache Digital or other electronic means.
Internet communications may be susceptible to interference or interception by third parties. Despite our best efforts, we make no warranties that Bache Digital is free of infection by computer viruses or other unauthorised software.
You should take appropriate steps to keep your information, software and equipment secure. This includes clearing your Internet browser cookies and cache before and after visiting or using Bache Digital.
You should use a strong password and keep your passwords confidential. You must report to us immediately if you know or have reason to suspect that the security of your Profile has been compromised or your Profile has been used by another person without your authority. Please note that we will never ask you for your login password.
Personal Data & Information
We obtain personal information about you from the information we receive from you or third-party through your authorization (e.g. from MyInfo), such as your name, NRIC or passport number, date of birth, address, telephone number, email address etc. All data and personal information will be kept confidential according to strict standards of security and confidentiality. We maintain electronic and procedural safeguards to protect your information.
Except for the following reasons, we do not disclose your personal information to non-affiliated third parties:
- in order to allow us to provide you with the services you request;
- for our own marketing and/or research and development purposes;
- in connection with our client services and client management systems;
- in response to regulatory inquiries or to comply with applicable laws, rules, regulations, orders, subpoenas or other legal processes
Warranties And Limitation Of Liability
You acknowledge and agree that:
Our services are provided on an "as is" basis without warranties of any kind. Without prejudice to the other provisions of these Terms, we will not be liable for any Losses arising out of or in connection with:
- your use of Bache Digital;
- your failure to follow the instructions, procedures and directions for using the Bache Digital;
- your reliance on any statement, opinion, representation or information in Bache Digital;
To the fullest extent permitted by law, Bache Digital, including its affiliates, will not be liable in connection with usage of its services for lost profits or lost business opportunities, reputation, loss of data (e.g., down time or loss, use of, or changes to, your information or content) or any indirect, incidental, consequential, special or punitive damages.
Bache Digital and its affiliates will not be liable to you in connection with usage of its services for any amount that exceeds (a) the total fees paid or payable by you to Bache Digital for the services during the term of the Service Contract(s), if any, or (b) S$1000.
Rights of Third Parties
A person who is not a party to these Terms shall have no rights to enforce any provision of these Terms.
Miscellaneous
These Terms contain the entire and whole agreement between the Parties relating to the subject matter of these Terms.
In the event any provision in these Terms is determined to be illegal, invalid or unenforceable, in whole or in part, such provision or part of it shall, to the extent it is illegal, invalid or unenforceable, be deemed not to form part of these Terms and the legality, validity and enforceability of the remainder of these Terms shall not be affected.
In no event shall any delay, failure or omission on the part of either of the Parties in enforcing any right, power, privilege, claim or remedy ("Remedy"), which is conferred under these Terms or at law or in equity, or arises from any breach by the other Party, (a) be deemed to be or be construed as a waiver or variation thereof, or of any other such Remedy, in respect of the particular circumstances in question, or (b) operate so as to bar the enforcement or exercise thereof, or of any other such Remedy in any other instances at any time or times thereafter.
No waiver of any breach of these Terms shall be deemed to be a waiver of any other or of any subsequent breach.
Any waiver granted under these Terms must be in writing and may be given subject to conditions. Such waiver under these Terms shall be effective only in the instance and for the purpose for which it is given.
Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of Singapore. You irrevocably agree to submit to the exclusive jurisdiction of the Singapore courts.
